These Terms govern your use of orelisplatform.com. They do not govern the client relationship.

01Agreement

These Terms govern your use of orelisplatform.com (the “Site”), operated by Orelis Technologies, LLC (“Orelis,” “we,” “us”). By using the Site, you agree to them. If you do not agree, please do not use the Site.

02What Orelis is — and what it is not

Orelis Technologies, LLC provides Context Infrastructure: document-preparation and transaction-intelligence services for organizations that conduct transactions.

Orelis is not a law firm. Orelis does not provide legal advice, legal representation, or legal counsel. All work product Orelis prepares is intended for review by the client's own independent legal counsel. Using this Site, contacting us, or receiving materials from us does not create an attorney-client relationship. Orelis prepares work. Attorneys provide judgment.

Nothing on this Site is legal, financial, tax, or investment advice, and nothing on it should be relied on as a substitute for professional advice from someone you have engaged.

03Use of the Site

You may use the Site for lawful purposes only. You agree not to:

• use it in any way that violates applicable law;
• attempt to gain unauthorized access to any part of the Site or its underlying systems;
• interfere with or disrupt the Site's operation;
• use automated means to scrape or harvest content, except for standard search-engine indexing;
• submit false information through any form on the Site.

We may suspend or restrict access to the Site at any time, for any reason, without notice.

04Information you submit

If you contact us through the Site, you are responsible for the accuracy of what you submit, and you confirm you have the right to share it. Do not send confidential or sensitive information through the Site's contact form — it is not a secure channel and is not intended for confidential material.

How we handle what you submit is described in our Privacy Policy, which forms part of these Terms.

05Text messages (SMS)

If you provide your mobile number and agree to receive text messages, you consent to receive service and operational notifications from Orelis at that number.

• Message frequency varies.
• Message and data rates may apply.
• Reply STOP to unsubscribe at any time. Reply HELP for assistance.
• Consent to receive text messages is not a condition of purchasing anything from us.
• No mobile information will be sold or shared with third parties or affiliates for marketing or promotional purposes.
• Carriers are not liable for delayed or undelivered messages.

06Intellectual property

The Site and its contents — text, design, graphics, and the Orelis name, marks, and logo — are owned by Orelis Technologies, LLC and protected by intellectual property law. You may view and share Site content for your own informational use. You may not reproduce, republish, or use it commercially without our prior written permission.

Any published Orelis papers or materials remain our property and are provided for your information only.

07Third-party links

The Site may link to third-party sites. We do not control them and are not responsible for their content, practices, or privacy policies. A link is not an endorsement.

08No warranty

The Site and its contents are provided “as is” and “as available,” without warranties of any kind, express or implied, including any implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that its content is accurate or complete.

09Limitation of liability

To the maximum extent permitted by law, Orelis Technologies, LLC will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use of the Site, even if advised of the possibility of such damages. Our total liability arising from your use of the Site will not exceed one hundred U.S. dollars ($100).

This section governs use of the Site only. Liability arising from client services is governed by the Master Services Agreement, not by this section.

10Changes to these Terms

We may update these Terms at any time. Changes take effect when posted, and the date above will be updated. Continuing to use the Site after a change means you accept the revised Terms.

11Governing law and venue

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of laws principles. Any dispute arising from these Terms or your use of the Site will be brought exclusively in the state or federal courts located in Dallas County, Texas, and you consent to the jurisdiction of those courts.
